1. Agreement to Terms

By accessing or using One Red Chair, including our website, guides, courses, learning materials, subscriptions, checkout systems, digital products, services, or related content, you agree to be bound by these Terms of Service and all applicable laws and regulations. • Purchased content may remain accessible after subscription cancellation, subject to these Terms and platform availability
• Borrowed or checked out content is temporary subscription access and may be removed when your subscription ends, expires, is canceled, or is otherwise no longer active
• Unused checkouts, rollover access, subscription benefits, promotional access, or temporary access privileges have no cash value and are not transferable
• You may not resell, share, repost, sublicense, publish, reproduce, publicly display, archive, scrape, or distribute purchased, borrowed, checked out, or restricted content without our prior written consent
• We reserve the right to modify, replace, discontinue, revoke, or limit access to subscription features, borrowing systems, checkout systems, rollover rules, or platform functionality at any time

4. User Accounts

If you create an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• You may not share your account, subscription access, purchased content, borrowed content, or login credentials with other users
• You are responsible for notifying us if you believe your account has been accessed without authorization
• We may suspend or restrict accounts that appear to be shared, abused, compromised, or used in violation of these Terms

5. Purchases, Subscriptions, and Payments

Some portions of our platform may offer paid subscriptions, memberships, digital guides, courses, downloads, borrowing systems, checkout systems, recurring services, or other paid products and services. By making a purchase or subscribing, you agree to provide current, complete, and accurate billing and payment information.

• Payment must be successfully received before access is granted, unless stated otherwise
• Subscription plans may include temporary access to a limited number of guides, courses, or digital materials at one time
• Temporary access or borrowed content may be subject to checkout limits, rollover limits, availability limits, or other usage rules established by the platform

• Subscription benefits, borrowing privileges, checkout availability, rollover rules, and member discounts may change over time
• Access to certain content may require an active subscription or a separate purchase
• We reserve the right to change pricing, discontinue offerings, modify subscription benefits, refuse orders, cancel orders, or limit access at our discretion
• You are responsible for any applicable taxes, fees, or charges associated with your purchase or subscription

6. Subscription Checkouts, Borrowed Guides, and Rollover Access

One Red Chair may allow subscribers to check out or borrow a limited number of guides, courses, or learning materials as part of an active subscription. Checked out content is temporary access content and is not the same as purchased content.

• Your subscription plan may determine how many guides or materials you may check out, borrow, or access at one time
• Checked out guides may remain available while your subscription is active, subject to these Terms, platform rules, and content availability
• Checked out guides occupy available checkout slots until they are returned, checked in, removed, purchased, or otherwise made unavailable
• Unused checkout allowances may be eligible for limited rollover if permitted by your plan or offer details
• Rollover access may be capped, limited, changed, expired, or discontinued at our discretion
• Rollover checkouts, unused checkouts, and subscription access privileges have no cash value and cannot be sold, transferred, exchanged, refunded, or redeemed for money
• If your subscription ends, expires, is canceled, or is not successfully renewed, checked out content and unused checkout or rollover access may be automatically removed or checked back into the platform

7. Refunds, Subscription Cancellations, and Access Changes

Because many of our products and services are digital and may be accessed immediately after purchase, all sales are final unless otherwise stated on the applicable sales page, checkout page, or separate written policy.

You may cancel a subscription at any time. Unless otherwise stated, cancellation will prevent future renewal charges but will not automatically entitle you to refunds for prior billing periods, unused time, unused checkouts, rollover access, borrowed content, promotional benefits, or subscription privileges.

• Purchased content may remain accessible after cancellation, subject to these Terms and platform availability
• Borrowed or checked out content may no longer be accessible after subscription termination
• Unused checkouts, rollover balances, subscription privileges, promotional benefits, or temporary access rights may expire when a subscription ends
• We reserve the right to revoke access to content obtained through fraud, abuse, chargebacks, payment disputes, policy violations, or unauthorized sharing
• We do not guarantee perpetual availability of any specific guide, creator, instructor, feature, subscription benefit, or digital product

8. Prohibited Activities

You may not access or use the Service for any unlawful purpose or in any manner that could damage, disable, overburden, impair, exploit, or interfere with our platform, systems, creators, users, or services.

9. Creator and User Submitted Content

If you submit, upload, publish, message, post, create, or otherwise provide content through the platform, including creator guides, comments, reviews, messages, profile information, or other materials, you are responsible for that content and represent that you have the necessary rights to provide it.

• You may not submit content that infringes intellectual property, privacy, publicity, contractual, or other rights of any person or entity
• You grant us a license to host, store, display, reproduce, distribute, modify, format, promote, and otherwise use submitted content as needed to operate, improve, market, and provide the platform
• We may review, edit, remove, reject, restrict, or disable access to submitted content at our discretion
• Creator content may be subject to additional creator terms, payout terms, review requirements, or publishing guidelines

10. Educational Purpose

Our guides, courses, content, tools, templates, examples, and services are provided for educational and informational purposes only. We do not guarantee any specific result, business outcome, job outcome, income level, certification outcome, ranking, professional result, or other outcome from using our materials.

11. Disclaimers

Your use of our service is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, content access, subscription benefits, checkout privileges, rollover access, or other losses arising out of or related to your use of the service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the service or these Terms shall be limited to the amount you paid to us for the applicable product or service giving rise to the claim during the period permitted by applicable law.

• We may revoke access to content obtained through payment disputes, chargebacks, fraudulent transactions, unauthorized sharing, or violations of these Terms
• Purchased content access may remain available after cancellation unless access is revoked for fraud, abuse, legal reasons, policy violations, payment disputes, platform discontinuation, or other reasons permitted by law
• We are not liable for losses resulting from account suspension, feature removal, content removal, subscription cancellation, checkout removal, rollover expiration, or termination of services
